The federal Anti-Kickback Statute (AKS) prohibits offering, paying, soliciting, or receiving anything of value to induce or reward referrals of items or services payable by federal healthcare programs. The Data Licensing Program is structured to be fully compliant. Here’s why:

Revenue is tied to data value, not purchasing decisions
Licensing fees paid by vendors reflect the fair market value of the intelligence they receive. Revenue to health systems is based on the value of the data contributed — not on what they buy, from whom, or in what volume.
No procurement influence
Vendor participation in the Data Licensing Program has zero bearing on health system purchasing decisions. Buying from a participating vendor provides no advantage, and not buying from one has no consequence.
Fair Market Value safe harbor
The program is structured under the AKS Personal Services and Fair Market Value safe harbor provisions. Compensation is set in advance, consistent with fair market value, and not determined by the volume or value of referrals.
Data flows one direction
Health systems contribute operational intelligence to the platform. Vendors license access to that intelligence. The two relationships are structurally independent — there is no quid pro quo.
No patient or contact data involved
The program covers capital equipment operational data only. No patient records, clinical data, HIPAA-protected information, or contact data of any kind is included or shared with vendors.
